TECHOSAURUS® LTD TERMS AND CONDITIONS

Notice Regarding VAT

Techosaurus® LTD is VAT registered. All fees, charges, and invoices include VAT at the applicable UK rate.


1. Provision of the Deliverables

Techosaurus® LTD agrees to provide IT support and consultancy services to the client according to the project brief and specifications agreed between the parties. All work will be compatible with the latest software and web standards; however, if standards change during or after completion, additional updates may be needed which are not included in this agreement.


2. Acceptance of the Deliverables

The client agrees to accept the Deliverables and to notify Techosaurus® LTD within 5 working days of receipt if any defects or errors are identified. Failure to provide notification within this period will be deemed acceptance. Updates due to changes in software/web standards are not included in this acceptance process.


3. Mutual Rights and Obligations

Both parties agree to communicate in good faith and to work collaboratively. Techosaurus® LTD will provide regular updates; the client agrees to provide timely feedback. Changes due to evolving software/web standards will be advised, including any extra costs or timeframes.


4. Payment Obligations

Unless otherwise stated, payment terms are on receipt of invoice, extendable up to 30 days in certain cases. The client agrees to pay all invoices promptly and in full, including VAT at the applicable rate, and to notify Techosaurus® LTD immediately of any invoicing concerns or disputes. Extra costs due to software/web standards changes will be clearly outlined.


5. Hardware and Labour Charges

Hardware is billable upfront; labour is billed in arrears at the standard rate. VAT applies at the relevant UK rate. Clients will be notified of any labour rate changes.


6. Renewal of Third-Party Subscription Services

For annual third-party subscription services including, but not limited to, Microsoft 365, web hosting, domain names, SSL certificates, software subscriptions, and managed services, Techosaurus® LTD will provide renewal notice at least 30 days before renewal where reasonably practicable.

Unless the client provides notice that the service should terminate, Techosaurus® LTD may renew the service on the client's behalf to avoid interruption or loss of service. The client remains responsible for all renewal charges incurred.


7. Your Other Obligations

Clients agree to provide a safe working environment for Techosaurus® LTD staff and comply with all health and safety legislation. All necessary information and resources must be provided. Extra information or resources may be required if updates due to standards changes are needed.


8. Third Party Terms

Techosaurus® LTD will comply with all applicable third-party terms (software licences, hosting, domains, etc). Clients are responsible for any third-party fees arising, including those due to evolving standards.


9. Microsoft 365

Techosaurus® LTD is a Microsoft Partner (5065902) and Indirect Reseller via Pax8/Wirehive. Techosaurus® LTD and Wirehive will be added as partners to your tenancy for resale. Unless explicitly stated, Microsoft 365 licences are on an annual commitment—quantities cannot decrease during this period, though increases are possible (costs pro-rated). Renewal notice will be provided at least 30 days before expiry; automatic renewal and charging will occur unless notice is given.


10. Intellectual Property

All intellectual property rights in the Deliverables belong to the client upon full payment. Techosaurus® LTD retains the right to use the Deliverables in its portfolio and marketing, subject to confidentiality agreements.


11. Data Protection

Techosaurus® LTD will comply with all data protection legislation and store client data securely, using it only for project purposes. The client must provide all necessary consents for processing personal data. Techosaurus® LTD will notify the client immediately of any data breaches or security incidents.


12. Limitation of Liability

Techosaurus® LTD accepts no liability for loss of business or earnings from any proposed or developed solutions. Use of such solutions is at the client's own risk; Techosaurus® LTD is not liable for direct, indirect, incidental, special, or consequential damages from the use or inability to use solutions provided.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.


13. Changes to Contract

Techosaurus® LTD may amend these terms at any time by providing written notice. Changes will take effect from the date stated in the notice, or immediately where required for legal, regulatory, security, supplier, or operational reasons. Any adjustments required due to standards changes will be notified to the client.


14. Termination of Contract

Either party may terminate this agreement by written notice. On termination, the client must pay all outstanding invoices and additional costs incurred up to the termination date. Techosaurus® LTD will return all client data, subject to confidentiality agreements.


15. Suspension of Services for Non-Payment

In the event of non-payment, Techosaurus® LTD reserves the right to temporarily withhold services after reasonable notice post due date. All services—including IT support, consultancy, and hardware access—will be paused until payment is received. Services will be reinstated promptly upon settlement. Techosaurus® LTD bears no liability for any loss or inconvenience resulting from such suspension.


16. Education, Training, Talks, and Events – Additional Terms

These terms apply to all education, training, speaking engagements, demonstrations, webinars, workshops, CPD, bootcamps, and events (“Learning Services”) delivered by Techosaurus® LTD in any format. They supplement the core Terms and Conditions above.

16.1 Ownership of Materials, Methods, and Delivery

All learning materials, slides, workbooks, handouts, demonstrations, event content, frameworks, training methods, delivery style, and teaching techniques are the exclusive intellectual property of Techosaurus® LTD.
This includes but is not limited to: course materials, talk/keynote content, live demo scripts, exercises, methodologies, lesson structures, frameworks, original AI prompts, and any proprietary tools or resources.
The name "Techosaurus®" is a registered trade mark (UK00004208314). All rights reserved.

For the avoidance of doubt, this does not include:

  • Pre-existing materials, methodologies, or frameworks independently developed by contractors or associates before engaging with Techosaurus® LTD
  • Concepts or techniques commonly known and used within the training or consulting industry
  • Independently developed ideas that do not derive from Techosaurus® LTD’s content or methods


16.2 Usage Restrictions

Participation in or access to any Techosaurus® LTD Learning Service (in person or online) does not grant permission to copy, record, reproduce, distribute, adapt, modify, translate, or otherwise use any content, materials, or methods for personal or commercial purposes, unless you have explicit written consent from Techosaurus® LTD.
You may not:

  • Record, film, or stream any Techosaurus® LTD training, talk, or event without prior written permission.
  • Use or adapt any part of our materials, methods, frameworks, or delivery for your own teaching, consultancy, training, or commercial activity.
  • Share, upload, distribute, or otherwise make available any Techosaurus® LTD content to others outside your own immediate learning experience, including within your organisation or externally.
  • Create derivative works, competing content, or services based on any Techosaurus® LTD content, materials, or delivery.

These restrictions do not apply to independently developed content or industry-standard teaching methods not based on Techosaurus® LTD’s Confidential Information.


16.3 Access and Certificates

Where provided, certificates of completion or CPD accreditation are granted to individual attendees and may not be transferred, sold, or re-issued except by Techosaurus® LTD.
Access to materials and resources (where digital access is provided) is strictly for the use of the registered learner/attendee and for the duration specified by Techosaurus® LTD.


16.4 Conduct and Recording

Respectful and professional behaviour is expected at all times during Techosaurus® LTD Learning Services.
Techosaurus® LTD reserves the right to refuse entry, remove, or terminate access for any participant in breach of these terms.


16.5 Intellectual Property and Enforcement

Any unauthorised use, sharing, copying, or commercial exploitation of Techosaurus® LTD materials, delivery methods, or content is strictly prohibited and may result in legal action.
Techosaurus® LTD will vigorously enforce its intellectual property rights, including seeking damages, injunctions, and reporting breaches to professional bodies or employers.


16.6 Changes and Updates

Techosaurus® LTD may update the content, format, delivery method, or these terms at any time, with reasonable notice where practicable.


16.7 Acceptance

By attending, accessing, or participating in any Techosaurus® LTD Learning Service, you agree to abide by these terms in addition to the main Terms & Conditions.

16.8 Contractor Contributions

Where contractors or associates contribute content or original work during the course of their engagement, Techosaurus® LTD may use such content under a non-exclusive, royalty-free licence.
Contractors retain ownership of independently developed or pre-existing materials not based on Techosaurus® LTD content.



16.9 Online Learning Courses - Additional Terms

The following additional terms apply specifically to self-paced and digitally delivered online learning courses provided by Techosaurus® LTD ("Online Learning Courses"). These terms supplement Sections 16.1 to 16.8 above and the main Terms & Conditions.


16.9.1 Nature of Service

Online Learning Courses are delivered digitally and are self-paced unless otherwise stated at the point of purchase.

No live teaching, mentoring, group work, technical support, AI tool setup, onboarding, consultancy, or troubleshooting services are included unless explicitly stated.

Participants are responsible for obtaining and maintaining any required devices, internet access, software subscriptions, and AI platform accounts required to access and complete the course.


16.9.2 Course Content and Updates

Generative AI and related technologies evolve rapidly. Course content, tools, examples, and best practice guidance may change frequently and sometimes without notice.

Techosaurus® LTD may update, replace, amend, or remove course content at any time to maintain accuracy, relevance, and quality.

Course content may differ between learners, versions, cohorts, or delivery periods. Outdated content will be corrected where practicable.


16.9.3 Access and Licensing

Unless otherwise stated at the point of purchase, access to an Online Learning Course is granted to a single registered learner for a period of 12 months from the date of purchase.

Access rights are personal, non-transferable, and may not be shared, resold, sublicensed, or provided to any third party.

Purchase of an Online Learning Course grants a single-user, non-transferable licence for personal professional development only. It does not grant permission to use the course materials for commercial training, consultancy, teaching, internal organisational training, or as part of another course, product, or service.

Digital certificates, completion badges, LinkedIn badges, or similar recognition may be issued at Techosaurus® LTD's discretion upon successful completion.


16.9.4 Payment, VAT and Refunds

Full payment is required at the point of purchase unless otherwise stated. All course fees include VAT at the applicable UK rate.

By completing the purchase of an Online Learning Course, the learner expressly requests immediate access to digital content and acknowledges that statutory cancellation rights may be affected once access has been granted, subject to applicable UK consumer law.

Refunds are not available once access has been granted, except where required by applicable UK consumer law.

No extensions to the access period are provided unless agreed in writing by Techosaurus® LTD.


16.9.5 Third-Party Platforms and Tools

Online Learning Courses may refer to or demonstrate third-party software, AI platforms, tools, websites, or services.

Techosaurus® LTD is not responsible for the availability, pricing, functionality, outages, restrictions, policy changes, account requirements, or continued operation of any third-party software, AI platform, or service referenced within a course.

No AI subscriptions, software licences, account setup, tool onboarding, or troubleshooting are included unless explicitly stated at the point of purchase.


16.9.6 Account Sharing, Misuse and Termination

Participants must not share login details, provide course access to others, copy or distribute course materials, or otherwise allow unauthorised use of an Online Learning Course.

Evidence of account sharing, unauthorised distribution, copying, resale, reproduction, misuse, or breach of these Terms may result in immediate suspension or termination of access without refund.

Techosaurus® LTD reserves the right to pursue further remedies where necessary to protect its intellectual property, business interests, and course content.



16.10 Open Learning Courses - Additional Terms

The following additional terms apply specifically to public face-to-face training courses, workshops, CPD sessions, seminars, and classroom-based learning services provided by Techosaurus® LTD ("Open Learning Courses"). These terms supplement Sections 16.1 to 16.8 above and the main Terms & Conditions.


16.10.1 Course Bookings and Payment

A booking is confirmed once payment has been received or alternative payment arrangements have been agreed in writing by Techosaurus® LTD.

All course fees include VAT at the applicable UK rate unless otherwise stated.

Places are allocated on a first-come, first-served basis and are subject to availability.


16.10.2 Refunds

Bookings for Open Learning Courses are subject to the following cancellation terms:

  • More than 28 days before the course start date: Full refund available.
  • Between 14 and 27 days before the course start date: 50% refund available.
  • Less than 14 days before the course start date: No refund available.

All refund requests must be submitted in writing to [email protected].

Approved refunds will normally be processed within 14 days.


16.10.3 Course Transfers

If a participant is unable to attend, a transfer to a future Open Learning Course date may be requested.

Transfer requests must be submitted at least 7 days before the course start date and are subject to availability.

Techosaurus® LTD reserves the right to refuse transfer requests where no suitable alternative date is available.


16.10.4 Substitute Attendees

If a participant is unable to attend, another individual from the same organisation may attend in their place at no additional cost.

Any substitute attendee must provide all required registration information before the course date to ensure appropriate arrangements can be made.


16.10.5 Minimum Attendee Numbers

Techosaurus® LTD reserves the right to cancel, postpone, or reschedule an Open Learning Course where minimum attendee numbers have not been reached.


16.10.6 Cancellation or Rescheduling by Techosaurus® LTD

Techosaurus® LTD reserves the right to cancel, postpone, reschedule, relocate, or modify an Open Learning Course due to trainer illness, venue availability, adverse weather conditions, insufficient attendee numbers, circumstances beyond our reasonable control, or any other operational requirement.

Where this occurs, participants will be offered either:

  • A full refund of course fees paid; or
  • A transfer to an alternative course date.

Techosaurus® LTD's liability shall be limited to the course fees paid and shall not extend to travel costs, accommodation costs, subsistence expenses, loss of earnings, loss of business, or any indirect or consequential losses.


16.10.7 Travel and Accommodation

Participants are responsible for arranging and paying for their own travel, accommodation, parking, meals, and any other costs associated with attending an Open Learning Course.


16.10.8 Attendance and Conduct

Participants are expected to behave professionally and respectfully towards trainers, venue staff, and fellow attendees.

Techosaurus® LTD reserves the right to refuse entry, remove, or exclude any participant whose behaviour is disruptive, abusive, unsafe, discriminatory, unlawful, or otherwise detrimental to the learning experience of others.

No refund will be provided where a participant is removed or excluded due to a breach of these Terms.
